  1. Subject

The General Terms and Conditions of Sale govern the relationship between Noberasco in Via Dei Mille S.r.l., with registered office at Regione Bagnoli No. 5, P.O. Box No. 86, 17031 Albenga (SV), VAT No. 01416380093, REA No. SV – 144249 (hereinafter“Noberasco”), and the person who intends to purchase and subsequently purchases (hereinafter the“Customer”) one or more products through the website www.noberasco1908.it and its subdomains (hereinafter collectively referred to as the“Website”).

Requests for information, reports, or other communications—unless otherwise specified—may be directed to Noberasco using the form available in the “Contact Us” section of the Website.

If the request relates to an order, we recommend that you include the unique code provided in the order confirmation sent to the customer via email.

  

  1. Account Creation and Acceptance of These General Terms and Conditions of Sale

The General Terms and Conditions of Sale are accepted by the Customer during the registration process on the Website, specifically by clicking the checkbox on the personal account creation page.

You cannot complete a purchase without registering on the Site.

Once the Customer has created a personal account and set a password, the General Terms and Conditions of Sale, in the most recent version available on the Website, shall apply to the Customer, as communicated by Noberasco in the event of updates or changes.

The Customer must, at all times, safeguard and protect the password they have set with the utmost care and confidentiality, refraining from disclosing it to third parties, publishing it, and/or disseminating it by any means: Noberasco will never ask for the Customer’s password.

  1. How and When a Sales Contract Is Concluded

Customers who wish to purchase products from the Website must follow the prescribed procedure, specifically:

  1. browse the site, select products, and add them to your cart;
  2. Once you have finished selecting your products, you will be taken to a summary page showing your Shopping Cart, which contains the items you have selected, their prices, delivery times and costs, and any other relevant information;
  3. Submit the order by clicking the button provided.

The order that the Customer submits to Noberasco through the Website constitutes a contractual offer.

The sales contract is considered concluded when Noberasco sends the Customer an email confirming the order. This email contains the Customer’s information, the order number, the exact price of the purchased goods, the applicable shipping costs, the delivery address to which the goods will be sent, and a link to access and save a copy of the applicable General Terms and Conditions of Sale.

The Customer agrees to verify the accuracy of the personal information contained in the order confirmation email and to immediately notify Noberasco of any corrections by replying directly to the email received.

  1. Who Can Make Purchases on the Website

Only individuals who are at least 18 years of age may purchase products from the Website.

When purchasing products, the Customer is required to provide truthful, accurate, and complete information. The Customer is also required to immediately notify Noberasco of any changes to the information provided.

The Customer agrees to indemnify Noberasco against any liability for damages and/or penalties in any way related to failure to comply with these rules regarding the provision and disclosure of their data, except in cases of willful misconduct or gross negligence on the part of Noberasco.

  1. Product Availability

The products on the Website are available in limited quantities.

Therefore, some products offered on the Site may not be immediately available at the time of ordering: for example, due to multiple users accessing the Site simultaneously, products may be sold to other customers before the Customer receives confirmation of their order. In such cases, the estimated availability and expected delivery times will be indicated on the relevant order page before the purchase is completed.

For this reason, once the order is received, Noberasco will notify the Customer by email if any of the ordered products are unavailable.

If a product is unavailable, the customer will be contacted by Noberasco’s customer service team and will be able to:

a) decide not to order the product anymore: in this case, you will be entitled to a refund of any amount already paid for that product; or

b) Confirm the order and wait for the product to become available again.

The Customer acknowledges and agrees that the purchase of these products requires waiting for them to become available and that shipping will take place within the time required to source them.

Any advance payment for a product that is not currently available constitutes a pre-order: The Customer has the right to cancel the order and receive a full refund at any time until the product is actually shipped.

  1. Product Information

Noberasco is committed to describing and illustrating the products sold on the Site as accurately as possible.

The Customer is required to carefully read the information regarding the products for sale, particularly that relating to the products’ ingredients and the presence of any allergens, including in light of any intolerances or other health issues affecting the Customer or other individuals for whom the Customer intends the products.

In this regard, Noberasco shall not be liable in any way if the Customer has not carefully reviewed all information provided on the Website and/or on the product packaging in accordance with the law.

  1. Product Prices

All prices listed on the Website are in euros and include VAT, any applicable taxes and fees, as well as the costs of containers and packaging.

Despite Noberasco's reasonable efforts to prevent it, it may happen that a product listed on the Site is mistakenly shown at a price different from the actual price.

When Noberasco verifies the order it has received, an automatic and/or manual check is also performed to ensure the product prices are correct.

If the price listed on the Website is lower than the correct selling price of a product, Noberasco will contact the Customer to confirm whether they still wish to purchase the product at the correct price. If the Customer does not wish to purchase it at the correct price, Noberasco will not be able to accept their order for that product and will refund the corresponding portion of the price received at the time of purchase.

If the correct price of a product is lower than the price listed on the Website, Noberasco will charge the Customer only the lower, correct price and will ship the product regardless.

In light of the Customer’s decisions in such cases, product delivery times may be subject to changes or delays, for which Noberasco shall in no event be held liable.

  1. Payments

Payment may be made using the following methods, at the Customer’s discretion:

  • credit card,
  • PayPal,
  • SEPA direct debit.

Noberasco does not, under any circumstances or at any time, have access to your payment details or information. For credit card payments, the accepted payment networks are:

  • MasterCard
  • Visa
  • PostePay
  • American Express.

The credit card will be charged the amount at the time the Customer submits the purchase order.

Transactions will be processed using secure payment methods, as provided by authorized service providers, which include the implementation of the 3D Secure system, the request for the CVV (Card Verification Value) code, and a direct connection to the payment processor via the SSL protocol. The PayPal payment system is also available and is managed entirely by the service provider, PayPal Inc.

  1. Billing

The Customer may request an invoice—provided the Customer is a legal entity and/or otherwise authorized to do so—by selecting the relevant option during registration on the Site, or by checking the box labeled “I would like an invoice” during the purchase process, in either case providing the necessary information for “Electronic Invoicing.”

It will not be possible to issue an invoice after the order has been completed, nor will it be permitted to modify an invoice once it has been issued, except in cases of errors or omissions on the part of Noberasco.

Following the introduction of so-called “Electronic Invoicing,” Noberasco will issue the tax document in accordance with current regulations and will also send a courtesy copy of the document via regular email to the address provided by the Customer.

  1. Product Delivery

The products will be delivered by express courier to the address provided by the Customer at the time of the order within the timeframe specified in the order confirmation email sent by Noberasco and, in any case, as quickly as possible, depending on the carrier and the selected shipping method.

Shipping costs are generally the responsibility of the Customer and are indicated before the Customer submits the order and in the order confirmation email.

For certain products, during certain time periods, or when the purchase amount exceeds certain thresholds, Noberasco reserves the right to offer the Customer free shipping.

The designated express carrier will, in any case, make at least 1 (one) delivery attempt before placing the product in storage at its warehouses for a period of at least 5 (five) calendar days.

  1. Product Warranty

The products sold by Noberasco are covered by the statutory warranty of conformity. 

If the Customer receives products that do not comply with the sales contract, the Customer has the right to request, at no cost to the Customer, that the product be replaced within the limits and under the conditions provided by law.

The Customer may exercise this right if the lack of conformity becomes apparent within 26 months of delivery of the goods.

  1. The Right of Withdrawal

The Customer has the right to cancel the sales contract entered into with Noberasco until the products have been shipped and, in any case, within 14 (fourteen) calendar days from the date on which the product was received, without providing any reason.

The Customer may exercise the right of withdrawal by sending a notice via certified mail or certified email (PEC).

You may also exercise your right of withdrawal by clicking the “Withdrawal” button available in your account—specifically in the section for completed orders—or by clicking the link in the footer of the Website.

Upon receipt of the notice of withdrawal, Noberasco’s customer service department will process the request and contact the Customer to make arrangements regarding the return of the goods. Specifically, the Customer must return the products subject to withdrawal within 14 (fourteen) calendar days to the following address: Noberasco S.p.A., operational headquarters located at Località Paleta 1, 17043 Carcare (SV).

Within 14 (fourteen) calendar days from the date on which Noberasco became aware of the decision to cancel, Noberasco will refund the amount paid by the Customer, including any shipping costs incurred for the delivery of the product, using the same payment method chosen by the Customer at the time of purchase, unless the Customer requests otherwise, which may alsoinclude the provision of a gift card to be used later on the Website.

Please note that Noberasco may suspend the refund until the products are received at its operational headquarters, or until the Customer provides appropriate documentation proving that the goods have actually been returned.

Pursuant to Article 59, paragraph 1, subparagraphs (d) and (e) of Legislative Decree No. 206 of September 6, 2005 (Consumer Code), the right of withdrawal does not apply to:

  • customized or made-to-order goods;
  • sealed goods that, for safety or health reasons, cannot be returned once opened, including:
    • goods that are prone to spoilage
    • perishable goods;
    • sealed goods that cannot be returned for hygiene reasons and that have been opened after delivery.

The product will be considered opened if the packaging or container holding it has been opened, modified, cut into, or otherwise altered.

  1. Liability

Noberasco is not liable for service disruptions caused by force majeure or unforeseeable circumstances—even if resulting from malfunctions or disruptions in the Internet network—in the event that it is unable to fulfill the order within the specified timeframe.

Noberasco is not liable for any damages, of any kind, resulting from the improper use of the product and/or use that does not conform to its intended purpose.

Except in cases of willful misconduct or gross negligence, Noberasco is solely liable for damages that are a direct and immediate consequence of its own breach of the provisions set forth in these Terms and Conditions of Sale and that were reasonably foreseeable at the time the sales contract was concluded.

  1. Defective Products and Returns

The Customer may contact Noberasco’s customer service department using the contact information provided on the Website in the event of defects in one or more of the delivered products.

The costs of returning the defective product will be fully covered and/or reimbursed by Noberasco, subject to verification and confirmation of the reported defect.

No returns will be accepted after the product's expiration date.

  1. Personal Information

Personal data will be processed by the Website in accordance with the Privacy Policy prepared by Noberasco, which can be viewed at the following link.

  1. Exclusions: What Happens If the Customer Is Not a Consumer

These General Terms and Conditions apply in full to purchases made by individuals who qualify as “consumers” pursuant to Article 3 of the Consumer Code (Legislative Decree No. 206/2005): Article 3 defines a “consumer” as a natural person acting for purposes unrelated to any entrepreneurial, commercial, artisanal, or professional activity they may carry out.

In the case of purchases made by parties who do not qualify as “consumers,” certain exceptions to these General Terms and Conditions of Sale apply: specifically, the provision regarding the right of withdrawal does not apply to parties who are not “consumers”; instead, the general provisions of Italian law apply.

  1. Governing Law and Jurisdiction

These General Terms and Conditions of Sale are governed by Italian law.

A Customer who qualifies as a consumer, as indicated in the previous article, may seek to resolve any dispute relating to a purchase made on the Site by referring to the list of alternative dispute resolution bodies for consumer disputes drawn up by the European Commission pursuant to Article 20, paragraph 4, of Directive 2013/11/EU, which was created and is managed by the European Union. The Customer can access these bodies via this link: https://consumer-redress.ec.europa.eu/list-alternative-dispute-resolution-adr-bodies_en. Any dispute relating to these General Terms and Conditions of Sale, if not resolved amicably, shall be subject to the exclusive jurisdiction of the court of the Customer’s place of residence or domicile.
